The Executive Board and Supervisory Board of Kontron AG are committed to the principles of good Corporate Governance. They strive to meet investors' expectations of responsible, transparent and long-term Corporate Management. In order to earn the trust of its stakeholders, Kontron implements high standards of Corporate Governance with a focus on transparency and predictability.
In alignment with these commitments, the Executive Board and Supervisory Board of Kontron AG comply with the German Corporate Governance Code (GCGC) with the recommendations of the "Government Commission on the German Corporate Governance Code. The GCGC provides guidelines for the management and supervision of German listed companies, incorporating internationally and nationally recognized standards for good and responsible Corporate Governance.
With regard to the DCGK (German Corporate Governance Code) in its applicable version, Kontron AG may deviate from certain "should" principles and provides explanations for any deviations from the recommendations in accordance with the "comply or explain" principle. These explanations are included in the annual financial report or the annual report under the chapter "Corporate Governance Report“.
