Share buyback program II 2023

On 27.09.2023, the Executive Board of Kontron AG resolved on the implementation of a new buyback program for own shares ("Buyback Program II 2023") in accordance with § 65 para. 1 no. 8 of the Austrian Stock Corporation Act (AktG) by further utilizing the authorization granted by the ordinary shareholder meeting on 6 May 2022, published on 6 May 2022 via an electronic information dissemination system. 

On 3 February 2023, the Executive Board of Kontron AG resolved on the implementation of a new buyback program for own shares ("Buyback Program I 2023") in accordance with § 65 para. 1 no. 8 of the Austrian Stock Corporation Act (AktG) by utilizing the authorization granted by the ordinary shareholder meeting on 6 May 2022, published on 6 May 2022 via an electronic information dissemination system, for the first time.

The Management Board of Kontron AG (“Company”) announces that the extraordinary shareholders' meeting of Kontron AG as of 08.11. 2023 has resolved upon the agenda topics as follows:

On 8 November 2023, the Executive Board and Supervisory Board of Kontron AG resolved in accordance with § 65 para. 1 no. 8 of the Austrian Stock Corporation Act (AktG) to continue the ongoing share buyback program for own shares ("Buyback Program II 2023") unchanged by utilizing the authorization granted by the shareholder meeting on 8 November 2023, published on 8 November 2023 via an electronic information dissemination system.

On 22 January 2024, Kontron AG prematurely completed the share buyback program II 2023 (“Share Buyback Program II 2023”) announced on 27 September 2023 pursuant to Art. 2 para. 2 of the delegated regulation (EU) 2016/1052 as Kontron AG concluded a share purchase agreement for the acquisition of 8,587,138 shares (= approx. 59.4%) of KATEK SE, listed in the prime market in Frankfurt.
